Terms of Service

1. Agreement to Terms

By accessing or using ArtistCollab.Studio ("Platform"), operated by FMF Entertainment Inc., located at 1 East Erie Street, Suite 525-4316, Chicago, IL 60611, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract. By creating an account, you represent that all information you provide is accurate and that you are authorized to use the Platform.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Platform Services

Artist Collab is a marketplace that connects music artists, producers, vocalists, songwriters, and engineers for creative collaboration. The Platform facilitates discovery, booking, project management, file exchange, live sessions, and payment processing. We are not a party to any collaboration agreement between users.

5. Fees & Payments

  • The Platform charges a service fee of 15% on each completed project transaction, with a minimum fee of $30 per month for active users with bookings.
  • Payments are processed through Stripe. Funds are held in escrow until project deliverables are approved by the client.
  • Refund and dispute resolution policies are outlined in Section 9.
  • All fees are in US Dollars unless otherwise stated.

6. Escrow & Project Lifecycle

When a collaboration is booked, client funds are held in escrow via Stripe manual capture. Funds are released to the service provider upon client approval of final deliverables. If a dispute arises, funds remain in escrow until resolution. Projects follow a defined lifecycle: booked → terms signed → escrow funded → files uploaded → in session → delivery submitted → approval pending → completed.

7. Intellectual Property & Split Sheets

  • All music, recordings, compositions, and creative works uploaded to the Platform remain the intellectual property of their respective creators unless otherwise agreed upon in a split sheet or collaboration agreement.
  • Split sheets created on the Platform are binding agreements between collaborators. All parties must review and approve splits before they are finalized.
  • The Platform does not claim ownership of any user-generated content.

8. User Conduct

You agree not to:
  • Upload content that infringes on third-party intellectual property rights
  • Use the Platform for fraudulent, illegal, or abusive purposes
  • Circumvent the Platform's payment system to avoid service fees
  • Harass, threaten, or discriminate against other users
  • Upload malicious files or attempt to compromise Platform security
  • Create multiple accounts or impersonate another person

9. Disputes & Resolution

If a dispute arises between collaborators, the Platform offers a mediation process. Either party may initiate a dispute within 14 days of delivery submission. Escrowed funds will be held during the dispute period. If mediation fails, the dispute may be escalated to binding arbitration in Cook County, Illinois.

10. Termination

We may suspend or terminate your account at our discretion for violations of these Terms. Upon termination, any pending escrow funds will be handled according to the dispute resolution process. You may delete your account at any time through your dashboard settings.

11. Limitation of Liability

FMF Entertainment Inc. is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you to the Platform in the 12 months preceding the claim. We do not guarantee the quality, accuracy, or outcome of any collaboration facilitated through the Platform.

12. Indemnification

You agree to indemnify and hold harmless FMF Entertainment Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days prior to taking effect. Continued use of the Platform after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any legal proceedings shall be brought in the courts of Cook County, Illinois.
